End-User License Agreement
Effective date: 2026-10-14
Version: 2.2 (beta)
This End-User License Agreement ("Agreement") is a legal contract between you ("User," "you") and Dmitry Pugachev, a sole proprietor based in Florida, USA ("AskSharper," "we," "us") governing your use of the AskSharper software ("Software").
By installing, running, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
1. Description of the Software
AskSharper is a desktop application that works together with a service we operate. It:
- Listens to audio played by and captured by your own device (your microphone input and your own speaker output).
- Transcribes that audio locally, on your device, using open-source speech-recognition models. Audio does not leave your device.
- On your demand (when you press Ask, or the F2 key), sends the recent transcript text to the AskSharper service, which forwards it to Anthropic's Claude API on our account and returns the result to you. The same request carries the meeting type, any agenda you entered, the text of any prep documents you added for the meeting, and a screenshot of the window in front of you (see “Screenshots” below).
- Displays suggested dialogue options for you, the User, to consider.
Your transcripts pass through our service; we do not store them unless you choose to share them. The text of your conversation travels through our servers on its way to Anthropic. Our record of a request holds only its metadata: what kind of request it was, which model answered, the number of tokens, the cost, how long it took, and whether it succeeded. No transcript, no prompt, no prep-document text, no screenshot, and no suggestion text is written to our database, and our logs are configured to exclude them. The one exception is described under “Shared transcripts and summaries” below.
Screenshots. When you press F2, the Software captures the window in front of you (never the Software’s own windows) and sends it with that request and with the questions you type in the following minutes, until your next F2 replaces it, you remove it, or 10 minutes pass. This is on by default; you can turn it off in Settings > Privacy > “Include my screen when I press F2”. Screenshots are not saved on your device or on our servers.
Prep documents. If you choose a folder of prep documents when you start a meeting, the Software reads the text of those files on your device and sends it, with the file names, as part of each request in that meeting. It is not stored.
Your account. Using the Software requires an account. We store your email address, whether it has been verified, a display name if your sign-in provider supplies one, and your subscription status. Sign-in is handled by our identity provider; we never see your password.
Your meetings. For each meeting we store when it started and ended, how it ended, how many requests it made, and the tokens and cost it used. We do not store what was said, unless you share it as described below.
Device identifier. When a meeting starts, the Software sends an identifier for your computer: a salted one-way hash of your Windows installation’s machine ID. It cannot be turned back into the machine ID and contains nothing else. We store it with the number of free meetings used on that computer and the accounts that have used it, to enforce the free-meeting limit per computer. If the machine ID can’t be read, the anonymous install identifier described under “Usage data” is sent instead.
On your device. The Software keeps a local history of your finished calls, including the transcript, the suggestions, and the summary, in a folder inside your user profile. It is written to your machine only and is never uploaded. You can turn it off, or delete all of it, in Settings then Privacy.
Usage data. The Software records which features you use, as counts and timings, to help us improve the product. It never includes what was said: no transcript text, no file names, and no screen images. Usage data is sent with an anonymous install identifier and, when you are signed in, your account, and is kept for up to 13 months. You can turn it off at any time in Settings > Privacy > “Share usage data”.
Shared transcripts and summaries. Your meeting transcripts and summaries are uploaded to us only if you turn on sharing in Settings > Privacy (“Share meeting transcripts and summaries to help improve AskSharper”), which is off by default. Shared transcripts and summaries are deleted after 30 days, and Settings > Privacy > “Delete my shared data” removes them, and your usage data, immediately.
2. License Grant
Subject to your compliance with this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your own personal and professional use.
You may not (a) redistribute, sell, rent, lease, or sublicense the Software; (b) modify, reverse-engineer, or create derivative works except as permitted by law; (c) use the Software to provide a service to third parties; or (d) remove or alter any copyright or license notice.
3. Subscription and the Anthropic API
The Software is provided on a subscription basis. A limited number of meetings are available at no charge; continued use requires a paid subscription. Payments are processed by Stripe. We do not receive or store your card details.
Requests to Anthropic's Claude API are made by our service, using our own Anthropic account. You do not need, and cannot supply, an Anthropic API key. Anthropic processes the text and screenshots we send in order to generate your suggestions, and that processing is governed by our agreement with Anthropic rather than by any relationship between you and Anthropic.
4. Your Responsibilities and Consent Obligations
You are solely responsible for the legality of your use of the Software, including compliance with all laws that apply to you and to the people you interact with. This includes, without limitation:
- Federal wiretap law (ECPA, 18 U.S.C. § 2511).
- State wiretap and eavesdropping laws, including all-party consent statutes such as California Penal Code §§ 631–632 (CIPA), Florida Statutes § 934.03, Illinois 720 ILCS 5/14-2, Maryland Cts. & Jud. Proc. § 10-402, Massachusetts G.L. c. 272 § 99, Montana MCA § 45-8-213, Nevada NRS § 200.620, New Hampshire RSA § 570-A:2, Pennsylvania 18 Pa.C.S. § 5704, and Washington RCW § 9.73.030.
- Foreign laws, including but not limited to the GDPR, UK GDPR, PIPEDA, LGPD, and equivalent national laws applicable to participants outside the United States.
Before using the Software in any meeting, conversation, or call involving other people, you must:
(a) determine the legal consent requirements in your jurisdiction and the jurisdiction of every participant; and
(b) obtain any consent required by those laws, including, where required, the prior informed consent of every participant.
The Software's first-run disclosure and the consent confirmation in its Start dialog (which you can snooze for 7 days per meeting type) are conveniences; they do not satisfy your consent obligations and do not constitute legal advice.
You further represent and warrant that, each time you use the Software in a multi-party conversation, you have obtained all legally required consents.
5. Indemnification
You agree to indemnify, defend, and hold harmless AskSharper and Dmitry Pugachev from and against any and all claims, losses, damages, liabilities, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Software; (b) your breach of this Agreement; (c) your violation of any law, including wiretap, eavesdropping, privacy, or data-protection laws; or (d) any dispute between you and a third party arising from your use of the Software.
6. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR FREEDOM FROM ERROR. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF DEFECTS.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKSHARPER AND DMITRY PUGACHEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO ASKSHARPER FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED US DOLLARS ($100).
8. Data and Privacy
What leaves your device. Your audio never leaves your device. When you ask for a suggestion, an answer, a recap, or an end-of-meeting summary, the transcribed text of the relevant part of your conversation is sent to the AskSharper service, together with the meeting type, any agenda you have entered and the text of any prep documents you added, and is forwarded to Anthropic. Suggestions and answers also carry a screenshot of the window in front of you unless you have turned that off; recaps and summaries never do. When a meeting starts, the device identifier described in Section 1 is sent as well.
What we keep. Your account details, your subscription status, metadata about your meetings and requests, the device identifier and its free-meeting count, and usage data (kept up to 13 months), as described in Section 1. We do not keep your prompts, screenshots, prep documents or the text of any suggestion, and we do not keep your transcripts or summaries unless you turn on sharing, in which case they are kept for 30 days.
Who else processes your data. We rely on the following providers: Anthropic (generating suggestions from the text of your conversation, your prep documents and screenshots), Clerk (accounts and sign-in), Stripe (payments), Microsoft Azure (hosting), and Neon (database hosting). Processing takes place in the United States.
Your choices. You can delete your local call history at any time in Settings then Privacy. In the same place you can turn screenshots, usage data and transcript sharing off, and “Delete my shared data” immediately removes any shared transcripts and summaries and your usage data. To close your account, or to ask what we hold about you and have it deleted, write to the address in Section 14.
9. Binding Arbitration; Class-Action Waiver
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Software ("Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction. The arbitration shall take place in Miami, Florida, or remotely at the arbitrator's discretion. The arbitrator, not any court or agency, shall have exclusive authority to resolve any Dispute.
Class-action waiver. YOU AND ASKSHARPER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
If the class-action waiver is held unenforceable as to any particular Dispute, that Dispute shall proceed in court; the remainder of this section remains in effect.
Exceptions. Either party may bring an individual action in small-claims court for any Dispute qualifying for small-claims jurisdiction. Either party may seek injunctive or equitable relief in court to protect its intellectual-property rights.
10. Governing Law; Venue
This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Subject to §9 (arbitration), any action not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to the personal jurisdiction of those courts.
11. Termination
This Agreement is effective until terminated. You may terminate it at any time by uninstalling the Software. We may terminate or suspend your license at any time, with or without notice, if you materially breach this Agreement. §§ 4 (Responsibilities), 5 (Indemnification), 6 (No Warranty), 7 (Limitation of Liability), 9 (Arbitration), and 10 (Governing Law) survive termination.
12. Changes
We may update this Agreement from time to time. Material changes will be communicated by updating the effective date above and, where reasonably practical, by in-product notice. Your continued use of the Software after a change constitutes acceptance.
13. Severability; Entire Agreement
If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect. This Agreement, together with the Software's Privacy Statement (in the README) and the LICENSE file, constitutes the entire agreement between you and AskSharper regarding the Software, and supersedes any prior agreement.
14. Contact
Claude connector: privacy notice
Last updated: 2026-10-13. This notice covers only the AskSharper connector for Claude. It does not change the Agreement above, which covers the desktop Software.
The AskSharper connector is a public, read-only service at https://api.asksharper.com/mcp that you can add to Claude. Its four tools return meeting-prep and practice material that we wrote in advance. See the connector page for what it does and how to add it.
- No account or sign-in. The connector asks for no email, name, password or other credentials, and does not identify you.
- What it receives. Only what Claude sends when it calls a tool: the tool name and its inputs, which are a meeting type and, optionally, a topic (up to 200 characters) and your role (up to 100 characters). It does not receive your Claude conversation, your files or any audio.
- How inputs are used. The meeting type selects the material; the topic and role are inserted into that one reply. They are not saved to any database, not written to our logs, and not sent to any AI model or other third party. The connector calls no AI model at all.
- What we log. For each request, the kind of request, the tool name and whether it succeeded. Never the inputs.
- IP address and rate limiting. Requests are rate-limited per IP address. The address is held only in the server’s memory, as the key for a per-minute counter; the counter is discarded after an hour without requests, or when the server restarts. We don’t write it to our database or logs.
- Hosting. The service runs on Microsoft Azure. Like any hosting provider, its infrastructure may keep standard request logs (such as IP address, time and URL) under Microsoft’s own terms.
- Claude itself. What you type into Claude, and Claude’s replies, are handled by Anthropic under its terms and privacy policy, not by us.
- No personal data stored. Taken together: we do not store personal data from your use of the connector.
